1. LEGAL INTRODUCTION & ACCEPTANCE

These Terms & Conditions (“Terms”, “Agreement”) constitute a legally binding contract between:

PURVANCHAL FILM CITY PRIVATE LIMITED, a company incorporated under the Companies Act, 2013, having its registered office at 55, BI Tower, Greater Noida, Uttar Pradesh – 201009, India (“Company”, “PFC”, “We”, “Us”, “Our”); and
Any individual, artist, student, client, subscriber, customer, visitor, user, or entity (“User”, “You”, “Your”).

The Company operates under multiple brands and verticals including but not limited to PFC Originals, PFC Studios, PFC Digital, Cinevya™, PFC Digital Cinema, PFC News, PFC Cinema School, PFC Primary Digital School, Onboardy™, OTT platforms, training programs, events, and association initiatives.

By accessing, browsing, registering, submitting information, uploading content, making payments, attending auditions or training, using OTT platforms, purchasing services, or interacting with the Company in any form, You expressly acknowledge that You have read, understood, and agreed to be bound by these Terms, along with:

Privacy Policy
Cancellation & Refund Policy
Shipping Policy
Project Approval Policy
Artist & Crew Policy
Applicable laws of India

If You do not agree, You must immediately discontinue all use of the Company’s services and platforms.

2. NATURE & SCOPE OF SERVICES

Purvanchal Film City Private Limited operates as an integrated cinema, media, digital, education, and business facilitation ecosystem.

Services may include, but are not limited to:

Feature films, web series, OTT & digital content
Television programs, short films, documentaries
Studio services, post-production, music production

2.2 Casting, Artists & Talent Services

Artist registration & profiling
Casting calls & auditions
Artist management services
Talent discovery & evaluation programs

2.3 Education & Training

Acting, modelling, direction, editing & media training
Workshops, seminars & skill development programs
Certificates, artist cards & credentials

2.4 Digital Cinema & Distribution

Digital cinema enablement
Film processing & theatrical coordination
OTT & digital distribution facilitation

2.5 Media, Advertising & Technology

News & digital publications
Advertising, branding & PR services
Websites, apps, OTT & platform solutions

2.6 Business & Facilitation Services

Business onboarding & compliance facilitation
Documentation & coordination services

The Company reserves the absolute right to modify, suspend, add, or discontinue any service at any time without prior notice.

3. USER ELIGIBILITY & AGE RESTRICTIONS

Users must be 18 years or older to independently access paid or contractual services.
Users below 15 years:
- ❌ Are prohibited from accessing OTT/video streaming platforms without parental supervision.
- ✅ May participate in training or educational programs only with written parental/guardian consent.

The User warrants that all information provided is true, accurate, and lawful. Any false declaration shall result in immediate termination and possible legal action.

4. USER ACCOUNT & RESPONSIBILITY

Users are responsible for maintaining confidentiality of login credentials
Any activity performed using Your account shall be deemed as Your responsibility
The Company is not liable for unauthorized access due to User negligence
Accounts cannot be transferred, sold, or shared

5. PAYMENTS, FEES & TAXATION

All payments are non-cashless digital transactions
Prices are exclusive of applicable GST or government levies
Payments are processed via RBI-approved third-party payment gateways
Card / UPI / Bank details are never stored by the Company
Payment does NOT guarantee:
- Casting selection
- Role confirmation
- Employment
- Earnings or fame

“Certain services may be offered free of cost, while others are optional and chargeable, as clearly disclosed at the time of booking or enrollment.”

6. NO GUARANTEE / NO PROMISE POLICY

The Company STRICTLY DISCLAIMS any assurance of:

Film/web series launch
Guaranteed role or screen time
Employment or income
Success, recognition, or popularity
Project release or continuation

All creative decisions depend on project requirements, director vision, market conditions, and production feasibility.

7. CASTING & AUDITION TERMS

Casting selection is purely talent-based
Registration or payment does not mean selection
Third-party casting calls are not under Company control
Any misuse of Company name by outsiders should be immediately reported

8. TRAINING DISCLAIMER

Training is for skill enhancement only
Training completion does not guarantee casting
Faculty, schedule, and modules may change
Training fees are non-refundable

9. CONTENT SUBMISSION & LICENSE

By uploading or submitting photos, videos, scripts, audition clips, or profiles:

You grant the Company a perpetual, royalty-free, worldwide license
Content may be used for:
- Casting evaluation
- Promotions
- Marketing
- Internal archives
You confirm ownership or legal right to submit such content

10. REFUND & CANCELLATION POLICY

10.1. GENERAL REFUND POLICY

PURVANCHAL FILM CITY PRIVATE LIMITED may enter into different payment arrangements with its Artists, Crew Members, Customers, Subscribers, Trainees, and Service Users depending on the nature of the service.

Unless expressly stated otherwise in writing, all payments made on the website or through official channels are strictly non-refundable and non-transferable.

10.2. ADVANCE PAYMENT REQUIREMENT

When an Artist, Crew Member, or Customer books or purchases any of the following services through the Website, App, OTT platform, or offline mode:

Movie Tickets
Event Tickets
Subscriptions or Membership Plans
PR & Promotion Services
Artist Management Services
Casting Registration or Audition Services
Acting / Modeling / Entertainment Training
Digital or Hard Copy Certificate Processing & Documentation Services
Digital Services, Online Content, OTT Access
Any other paid service offered by the Company

👉 100% of the total amount must be paid in advance.

Once the payment is successfully completed:

The booking/service is considered confirmed
The amount paid shall not be refunded, reversed, exchanged, or transferred
No claim for refund shall arise due to:
- Non-selection
- Change of mind
- Absence or non-attendance
- Project delay, modification, or cancellation
- Any personal or professional reason

10.3. NO REFUND / NO TRANSFER CLAUSE

Fees once paid are final
Tickets and services are non-transferable
Partial usage or non-usage does not entitle the user to refund
Any charge paid towards processing, documentation, administration, training, or digital services is non-reversible

10.4. PERMISSION TO USE SERVICES

Upon receipt of full payment, PURVANCHAL FILM CITY PRIVATE LIMITED grants the User a limited, non-exclusive, non-transferable, and revocable permission to access and use the specific service(s) paid for, subject to:

Privacy Policy
Applicable laws of India

This permission does not constitute ownership, employment, guarantee, or exclusive rights of any kind.

10.5. CANCELLATION BY COMPANY

In rare circumstances, if a service is cancelled solely due to reasons attributable to the Company, the Company may, at its sole discretion:

Reschedule the service
Provide an alternative service
Issue a credit note

Refunds, if any, shall be governed strictly by written communication from the Company and shall not be claimed as a right.

10.6. CHANGES TO PRICING & PLANS

PURVANCHAL FILM CITY PRIVATE LIMITED reserves the absolute right to:

Modify or revise Subscription Fees
Change Ticket Prices
Update Service Plan Pricing
Introduce or discontinue offers

Such changes may occur without prior notice and shall not affect payments already made.

The price applicable at the time of booking/payment shall be considered final and binding.

10.7. PAYMENT GATEWAY DISCLAIMER

All payments are processed through third-party payment gateways
The Company does not store card, UPI, or bank details
Failed or delayed transactions due to gateway issues are subject to the gateway’s policies

11. INTELLECTUAL PROPERTY RIGHTS

All logos, trademarks, videos, scripts, designs, UI, and content belong to the Company
Unauthorized copying, distribution, resale, or commercial use is prohibited
Legal action will be taken for infringement

12. USER CONDUCT

Users shall NOT:

Upload illegal, obscene, defamatory content
Impersonate others
Spread misinformation
Attempt hacking, fraud, or data theft
Harass staff, artists, or other users

Violation may result in immediate termination without refund.

13. DATA PROTECTION & PRIVACY

Data processed as per Digital Personal Data Protection Act, 2023
Explicit consent is obtained during registration
Data retention until deletion request is received
Data deletion completed within 48 hours after verification
Data may be retained for:
- Legal compliance
- Accounting
- Fraud prevention

14. FRAUD DETECTION & LEGAL OBLIGATION

Transactions are monitored for fraud detection
Suspicious activity may be reported to authorities
Records may be retained to comply with law enforcement requests

15. ADVERTISEMENTS & PROMOTIONS

Interest-based ads may be displayed
Promotional communication may be sent via SMS, Email, WhatsApp
Opt-out available where legally required

16. THIRD-PARTY LINKS & SERVICES

The Company is not responsible for third-party platforms
Payment gateways, OTT platforms, advertisers have independent policies
Access at User’s own risk

17. ACCOUNT TERMINATION

The Company may suspend or terminate any account without notice for:

Policy violation
Fraud or misuse
Legal requirements
Operational reasons

18. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

The Company shall not be liable for indirect or consequential losses
Liability, if any, shall not exceed the amount paid by the User
Internet risks and force majeure events are excluded

19. CERTIFICATION & MEMBERSHIP ELIGIBILITY

Eligibility Requirement
The Certificate and Association Membership (Artist / Director / Producer / Crew) issued by PURVANCHAL FILM CITY PRIVATE LIMITED shall be granted only to candidates who successfully pass the Purvanchal Film City National Examination.
Non-Eligibility in Case of Failure
Candidates who fail the National Examination are not eligible to receive:
- Certificate
- Association Membership
- Artist / Director / Producer / Crew Credentials
Re-Application After Failure
Candidates who fail the examination may re-apply for training and re-examination only after a minimum period of six (6) months.
Certification and Membership shall be issued only after passing the examination in such subsequent attempt.
Wrong or Premature Application
If a candidate:
- Has failed the examination, or
- Has not appeared for the examination, and
- Still proceeds to apply for Certificate or Membership
such action shall be treated as a violation of company rules, despite the candidate being aware of the eligibility requirements.
Document Processing Fee
In cases of:
- Ineligibility
- Rule violation
- Incorrect or premature application
the Document Processing Fee shall not be refundable.
Auto Refund (System-Based)
Where applicable and approved by system validation, any automatic refund (if triggered) shall be processed within seven (7) working days.
This shall be subject to internal verification and does not constitute a guaranteed refund.
Mandatory Eligibility Confirmation
Applicants are strictly advised not to apply for Certificate or Association Membership unless:
- They have appeared and passed the National Examination, and
- Their documentation eligibility has been verified and approved by the Purvanchal Film City team.
Company’s Final Authority
The decision of PURVANCHAL FILM CITY PRIVATE LIMITED regarding:
- Eligibility
- Examination result
- Certification
- Membership issuance
shall be final and binding.

20. FORCE MAJEURE

The Company shall not be liable for failure due to events beyond control including but not limited to:

Natural disasters
Government restrictions
Internet outages
Pandemic or lockdown

21. MODIFICATION OF TERMS

Terms may be updated at any time
Continued usage implies acceptance
Users are advised to review periodically

22. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by the laws of India.
All disputes shall be subject to exclusive jurisdiction of courts in Uttar Pradesh / NCR.

23. MULTI-BRAND & PLATFORM GOVERNANCE

PURVANCHAL FILM CITY PRIVATE LIMITED operates multiple brands, platforms, verticals, and initiatives including but not limited to PFC Originals, PFC Studios, PFC Digital, Cinevya™, PFC Digital Cinema, PFC News, PFC Cinema School, PFC Primary Digital School, Onboardy™, OTT platforms, events, training programs, artist management services, and association initiatives.

All such brands, services, and platforms are governed by these same Terms & Conditions, unless a specific written addendum or policy is expressly published for a particular service.

Use of any single brand or service shall be deemed acceptance of these master Terms for the entire ecosystem.

24. FACILITATION & THIRD-PARTY PROFESSIONAL SERVICES

Certain services offered by the Company, including but not limited to business onboarding, compliance support, legal documentation, accounting, taxation, cinema exhibition coordination, OTT distribution, or professional advisory services, may be provided through independent third-party professionals or service providers.

The Company acts as a facilitation and coordination platform only and does not provide statutory, legal, accounting, or professional advice unless explicitly stated in writing.

The Company shall not be held liable for the independent acts, omissions, or professional outcomes of such third-party service providers.

25. DIGITAL CINEMA, DISTRIBUTION & RELEASE DISCLAIMER

Services related to digital cinema, theatrical enablement, film processing, screening coordination, OTT or television distribution are subject to multiple external factors including but not limited to:

Theatre availability
Platform approvals
Technical feasibility
Market conditions
Regulatory permissions

The Company does not guarantee theatrical release, screen allocation, number of shows, OTT acquisition, television broadcast, or commercial success of any film or content.

26. EDUCATION, CERTIFICATION & NON-GOVERNMENT STATUS

All training programs, certificates, artist cards, credentials, or memberships issued by the Company:

Are private and industry-based
Are not affiliated with or recognized by any Government body, ministry, board, or statutory authority
Do not constitute government certification, employment guarantee, or statutory qualification

Training, certification, or association membership does not assure casting, employment, income, or career advancement.

27. ASSOCIATION & MEMBERSHIP DISCLAIMER

Any association, membership, artist card, crew credential, or industry identity issued by the Company or its supported initiatives:

Is issued solely for identification, networking, or internal ecosystem purposes
Does not grant statutory rights, regulatory authority, or exclusive industry access
May be suspended or withdrawn for misconduct, policy violation, or misuse

The Company reserves final authority over issuance, suspension, or cancellation.

28. ANTI-FRAUD, IMPERSONATION & MISUSE WARNING

The Company does not authorize any individual, agent, casting intermediary, or third party to:

Demand money for guaranteed roles or work
Promise casting, employment, or release
Collect payments outside official channels

Any person claiming otherwise is acting fraudulently. Users must report such incidents immediately. The Company shall not be liable for losses arising from dealings with unauthorized persons.

29. DIGITAL COMMUNICATION & ELECTRONIC RECORDS

Users agree that:

Electronic communications, records, invoices, receipts, and agreements constitute valid legal communication
Notices sent via Email, SMS, WhatsApp, website notifications, or platform dashboards shall be deemed legally served

Users are responsible for keeping contact details updated.

30. CONTENT MODERATION & REMOVAL RIGHTS

The Company reserves the right, without notice, to:

Review, moderate, edit, restrict, or remove any user-submitted content
Suspend or disable access to content violating policies or laws

No refund or compensation shall arise from such removal.

31. DATA SHARING WITHIN ECOSYSTEM

User data may be securely shared within the Purvanchal Film City ecosystem and with empanelled service providers strictly for:

Service delivery
Compliance
Operational purposes

Such sharing shall be governed by the Privacy Policy and applicable data protection laws.

32. NO PARTNERSHIP / EMPLOYMENT RELATIONSHIP

Use of the Company’s services does not create:

Employer–employee relationship
Partnership or joint venture
Agency or representation

Users remain independent and solely responsible for their professional decisions.

33. SEVERABILITY

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

34. ENTIRE AGREEMENT

These Terms & Conditions, together with referenced policies, constitute the entire agreement between the User and PURVANCHAL FILM CITY PRIVATE LIMITED and supersede all prior communications or understandings.
